Terms of Service

These Terms of Service (“Terms”) govern your use of the website, customer portal, and software offered by The Strategic Edge AI LLC (“we,” “us,” “our”). By accessing or using our services, you agree to these Terms.

• You must be at least 18 and able to form a binding contract.
• You are responsible for safeguarding your account credentials and for all activity under your account.

• Our strategies are sold as monthly subscriptions. Charges recur automatically until canceled in the Customer Portal.
• Fees are generally non-refundable. If you experience a billing issue, contact support@steadyalgo.com.
• Taxes may apply. We may change prices with reasonable notice.

While your subscription is active, we grant you a limited, revocable, non-exclusive, non-transferable license to use our compiled NinjaTrader® strategies, bound to your NinjaTrader username via a user-based license key.

• No redistribution, sublicensing, leasing, reselling, or shared access.
• No reverse engineering, decompiling, disassembly, or derivative works.
• You may configure Contracts only (other parameters are intentionally locked).

Trading futures and similar instruments involves substantial risk of loss and is not suitable for all investors. You can lose more than your initial investment. We do not provide investment, legal, tax, or accounting advice. Past performance, including any hypothetical or backtested results, does not guarantee future outcomes.

All content and software are owned by us or our licensors and protected by intellectual property laws. No rights are granted except as expressly set out in these Terms.

• No unlawful, fraudulent, or abusive use.
• No interference with the security or integrity of the Service.
• No scraping, automated extraction, or excessive load on our infrastructure.

We may suspend or terminate access if you violate these Terms or use the Service in a way that risks harm to us or others. Upon termination, your license ends and continued use of any licensed code or keys is prohibited.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; NOR FOR LOST PROFITS, REVENUE, OR DATA; EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These Terms are governed by the laws of the State of California, without regard to conflicts of law. Any disputes will be resolved in the state or federal courts located in Sacramento County, California, and you consent to their jurisdiction and venue.

We may update these Terms from time to time. If we make material changes, we’ll provide notice (e.g., via the site or email). Continued use after changes take effect constitutes acceptance.
